GMAT™ Official Bundle Voucher – Terms of Use (this “Agreement”)

This Agreement is a legal contract between you (“End User” or “you”) and Graduate Management Admission Council (“GMAC” or “we”), and it governs your purchase and use of a GMAT™ exam voucher for testing at a test center (the “Voucher”), whether purchased on its own or as part of a bundle.

 

PLEASE READ THIS AGREEMENT BEFORE PURCHASING A VOUCHER. BY PURCHASING A VOUCHER, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITY. THESE PROVISIONS ARE AN ESSENTIAL PART OF OUR BARGAIN. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT PURCHASE A VOUCHER. YOU CONSENT TO HAVE THIS AGREEMENT PROVIDED TO YOU IN ELECTRONIC FORM. YOU HAVE THE RIGHT TO RECEIVE, AND MAY REQUEST, A NON-ELECTRONIC COPY BY CONTACTING GMAC CUSTOMER CARE.

  1. PAID PRODUCT:
    1. To use the Voucher, you much purchase it. GMAC reserves the right to request alternative forms of payment if a Voucher is fraudulently purchased, obtained, or used to register for the GMAT™ exam (the “Exam”).
    2. Upon purchase, the Voucher will be made available promptly for your use, and you do not have the right to cancel the Voucher or this Agreement or receive any refund, unless otherwise specifically agreed by GMAC in writing or expressly required by operation of applicable law. Vouchers may not be redeemed or exchanged for cash, check, or credit, except where required by law.
    3. Purchasing a Voucher does not guarantee a desired date and time for an appointment at a test center. YOU WILL NOT BE OFFICIALLY REGISTERED FOR THE EXAM UNTIL YOU SCHEDULE AN APPOINTMENT.
  2. EXPIRATION DATE: Vouchers must be applied against a test center Exam appointment that will take place within six (6) months of the date of purchase. Vouchers that are not used within that 6-month period will expire, and no refunds will be offered.
  3. NON-TRANSFERABILITY OF VOUCHERS: VOUCHERS ARE NON-TRANSFERABLE. You shall not transfer, assign, sell, share, or distribute the Voucher to another person.
  4. MBA.COM ACCOUNT: You must have an account on mba.com in order to use the Voucher. Allowing any person other than yourself to use the Voucher, including, but not limited to, by transmission of your mba.com username or password, is expressly forbidden, and failure to comply with this prohibition may result in the suspension or termination of the right to continue to use the Voucher. You shall use reasonable efforts to maintain the secrecy of your mba.com username and password and shall not save such information on a workstation that may be used by multiple users.
  5. VOUCHER APPLICABILITY: Vouchers are only valid for use on new appointments and are not valid for any other GMAC or GMAT product or service. Each Voucher is valid for one test center appointment on the date you specify when you register for the Exam delivered at a test center. Vouchers cannot be applied to an existing appointment, or retroactively. Vouchers cannot be applied to appointments for the Exam delivered online.
  6. USING THE VOUCHER: To use the Voucher, you must register for the Exam delivered at a test center and schedule an appointment. To see dates and times for potential appointments and/or to register for the Exam, please visit https://www.mba.com/exams/gmat-exam/register. We cannot guarantee the appointment until you register for the Exam, as appointments are only guaranteed upon completion of the registration process.
  7. RESCHEDULING OR CANCELING: If you cannot take the Exam at the appointment date and time you have scheduled, you can either reschedule or cancel, and the standard Exam reschedule fees or cancellation fees will apply based on when you reschedule or cancel, as set forth on https://www.mba.com/exams/gmat-exam/register/exam-payment. You can reschedule or cancel your Exam online or by phone. If you reschedule or cancel your Exam appointment by phone, you will be charged an additional service fee of USD $10.00. Once all applicable rescheduling or cancellation fees have been paid, you will be reissued your original Voucher. Appointments cannot be rescheduled or canceled within twenty-four (24) hours of your scheduled appointment time. If you cancel or reschedule within twenty-four (24) hours of your scheduled appointment time, your Voucher will not be reissued. Upon rescheduling or canceling, reissued Vouchers must be applied towards an appointment that is prior to the expiration date of the Voucher, which is six (6) months after the date of original purchase. Vouchers not used by the expiration date are invalidated, and no refunds will be offered. In no event will the expiration date on any Voucher be extended or modified. For more information on rescheduling or canceling your exam, please review the GMAT Exam Policies and Procedures (https://www.mba.com/exams/gmat-exam/register/exam-policies). If there is any conflict between the terms in this Agreement and the terms in the GMAT Exam Policies and Procedures, the terms in the GMAT Exam Policies and Procedures shall control.
  8. LOST OR STOLEN VOUCHERS: GMAC is not responsible for lost, misdirected, or stolen Vouchers. Vouchers will not be replaced by GMAC if lost, misdirected, or stolen.
  9. RESTRICTIONS ON USE: You shall not, and shall not enable others to: (i) alter, obscure, or remove any copyright, trademark, or other proprietary legend from the Voucher; or (ii) interfere or tamper with or disable any access control or security features of the Voucher. Any attempt to do any of the foregoing is a violation of the rights of GMAC and constitutes a material breach of this Agreement.
  10. TERMINATION: GMAC may terminate this Agreement upon providing at least thirty (30) days’ notice posted on www.mba.com. Additionally, your rights under this Agreement shall immediately terminate if you fail to comply with any terms of this Agreement or if GMAC discontinues the provision of Vouchers to its customers due to unforeseen circumstances beyond GMAC’s control or to comply with a legal requirement. GMAC may deploy fraud detection software or other means to monitor compliance with these terms. Upon the termination of this Agreement, you shall cease use of any unused Vouchers you have. Sections 2, 3, 9, 10, 11, 12, 13, 14, 15, and 16 of this Agreement shall survive any termination or expiration.
  11. DATA/PRIVACY: GMAC reserves the right to monitor your use of the Voucher and to collect and analyze data relating to your use of the Voucher. When you purchase and use the Voucher, your personal information is shared with GMAC. GMAC may use this data for certain legitimate business purposes, which include the following: to support you with your purchase and use of the Voucher, Exam delivery, to improve the Voucher, for marketing research, and to assess your compliance with the terms and conditions of this Agreement. GMAC’s Privacy Statement provides additional detail about how personal information is used and about your privacy rights. GMAC may also contact you regarding promotional offers to the extent you have opted in to receiving such communications. You may opt out of receiving GMAC communications at any time by unsubscribing through your profile on mba.com or by contacting GMAC Customer Care.
  12. DISCLAIMER OF WARRANTIES: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER GMAC NOR ITS THIRD-PARTY LICENSORS OR SERVICE PROVIDERS (COLLECTIVELY, ITS “LICENSORS”) ASSUME ANY responsibility or liability for the following: (a) technical malfunctions that may occur; (b) any incorrect or inaccurate information; (c) problems that may result from malfunctions in any of the equipment or programming associated with or utilized in the administration of the Voucher; OR (d) any technical or human error which may occur in the processing of the Voucher. If GMAC is unable to deliver the Voucher as promised because of tampering, unauthorized intervention, fraud, technical failures, force majeure, or any other cause beyond the control of GMAC which may corrupt or affect the administration of the Voucher, GMAC reserves the right, in its sole discretion, to cancel any Voucher purchase.
  13. LIMITATION OF LIABILITY: IN NO EVENT WILL GMAC, ITS LICENSORS, OR THEIR RESPECTIVE AFFILIATES BE LIABLE TO YOU FOR (A) ANY CLAIM MADE BY ANY THIRD PARTY AGAINST YOU RELATING TO THIS AGREEMENT, OR (B) ANY CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES, EVEN IF GMAC OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES OR JURISDICTIONS DO NOT ALLOW THE FOREGOING LIMITATIONS, IN WHICH CASE SUCH LIMITATIONS MAY NOT APPLY. IN NO EVENT SHALL GMAC’S AND ITS LICENSORS’ TOTAL LIABILITY FOR ALL DAMAGES (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE PURCHASE PRICE YOU PAID FOR THE VOUCHER.
  14. GOVERNING LAW AND LEGAL PROCEEDINGS: This Agreement will be governed by and construed in accordance with the laws of the Commonwealth of Virginia, excluding its conflict of laws principles. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If for any reason a court of competent jurisdiction finds any provision or any portion thereof of this Agreement to be unenforceable, the remainder of this Agreement shall remain in full force and effect. In the event of a dispute arising out of or relating to this Agreement or the Voucher, such dispute shall be brought exclusively in a court of competent jurisdiction located in the Commonwealth of Virginia. The parties (GMAC and you) hereby agree to waive any right to a jury trial in such dispute. You shall resolve disputes with GMAC only on an individual basis and shall not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.
  15. EXPORT CONTROL: You shall not export or re-export the Voucher except as authorized by United States law and the laws of the jurisdiction in which the Voucher was accessed.
  16. GENERAL: The terms in this Agreement apply to the Voucher and do not supersede any other agreements, policies, procedures, or terms and conditions that you may be subject to as a result of your use of any website or the administration of any GMAC exam. GMAC reserves the right to modify this Agreement at any time by replacing this Agreement with an updated Agreement on mba.com. You should check this Agreement periodically for modifications. If any modification is unacceptable to you, your only recourse is to cease use of the Voucher. Your use of the Voucher shall constitute your binding acceptance of the modified Agreement. In the event of a dispute between the English version and any non-English versions of this Agreement, the English version of this Agreement shall govern, to the extent not prohibited by local law in your jurisdiction.
